The undersigned Board of Governors (BOG) members hereby provide this written notice calling for a Special Meeting of the BOG to take place at 7:30 p.m. on Monday, October 2, 2023. The meeting will be held via Zoom using the Zoom meeting details to be included with the Secretary’s Notice to all OLSBA Members.
Article III, Section 5 of the OLSBA Bylaws states: “Special meetings of the Board of Governors may be held at any place upon the call of the President or upon the call of any three or more members of the Board of Governors. Notice of each meeting shall be given in accordance with the provisions of the Connecticut Freedom of Information Act.”
The meeting Agenda is as follows:
To fulfill our BOG duties to all members of the OLSBA as required by our governing documents, we are compelled to have a Special Meeting to address the BOG’s prolonged failure to fill a WPCA member vacancy, to reappoint certain WPCA members for a new three-year term, and to fill a vacant BOG seat by voting as follows:
• To appoint Greg Symon as a WPCA member, effective immediately, to fill the vacancy of the three- year term expiring on June 30, 2024.
• To reappoint John Cunningham and Tom Annulli (June 30, 2022 expiration), and Al Roy and Dede DeRosa (June 30, 2023 expiration) as WPCA members dating back to July 1, 2022 and July 1, 2023, respectively, and continuing through June 30, 2025 and June 30, 2026, respectively, thereby removing all doubt as to the timely appointment of these WPCA members and ensuring that all actions and conduct by each of them have the full force and effect as if the BOG reappointed them for said three-year term on or prior to July 1, 2022 and July 1, 2023, respectively.
• To appoint Paul Yellen as a BOG member, effective immediately, to fill the vacancy until the next annual meeting.
